Common use of No Material Misrepresentation Clause in Contracts

No Material Misrepresentation. The representations and warranties of Borrower set forth in this Agreement, the Note and the other Loan Documents and in any certificate, opinion or other statement provided at any time by or on behalf of Borrower in connection herewith shall be true and correct on and as of the date of the making of the Loan as if made on and as of such date, except to the extent that a representation or warranty is made as of a specific date, in which event such representation or warranty shall remain true and correct as of such earlier date, and except to the extent that a representation or warranty is no longer correct by virtue of changes permitted by the terms of this Agreement; and

The representations and warranties of Borrower and its Subsidiaries set forth in this Agreement, the Note Notes and the other Loan Documents and in any certificate, opinion or other statement provided at any time by or on behalf of Borrower or its Subsidiaries in connection herewith shall be true and correct on and as of the date of the making of the Loan as if made on and as of such date, except to the extent that a representation or warranty is made as of a specific date, in which event such representation or warranty shall remain true and correct as of such earlier date, and except to the extent that a representation or warranty is no longer correct by virtue of changes permitted by the terms of this Agreement; and
