No Material Mistatements. Memory warrants and represents to Roche that (i) its senior executives have not intentionally failed to disclose any information actually known to them which in their reasonable opinion, would be material to Roche entering into this Agreement, and to the actual knowledge of such senior executives such information does not contain any untrue statement of material fact or omit to state a material fact; (ii) it has provided correct and complete copies of all documents furnished to Roche.
