Common use of No Materiality Clause in Contracts

No Materiality. For purposes of indemnification under this Article VIII, each of the representations and warranties contained in this Agreement that contain any qualifications as to materiality or Material Adverse Effect (or any correlative terms) shall be deemed to have been given as though there were no such qualifications in determining whether there has been any breach of any representations or warranties hereunder and the Losses attributable to such breach.
