No Member Responsible for Other Member’s Commitment. In the event that any Member (or any such Member’s shareholder, partners, members, owners, representatives, or Affiliates) has incurred any indebtedness or obligation prior to the Effective Date of this Operating Agreement that relates to or otherwise affects the Company, neither the Company nor any other Member shall have any liability or responsibility for or with respect to such indebtedness or obligation unless such indebtedness or obligation is approved by all of the Members and assumed by the Company pursuant to a written instrument signed by the Manager.
