No Merger, Consolidation or Transfer of Plan Assets or Liabilities. Notwithstanding anything to the contrary contained herein, no merger, consolidation or transfer of the assets or liabilities of the Plan with or to any other plan shall be permitted, except in compliance with the provisions of ERISA and the Code which are applicable to such mergers, consolidations or transfers, including, without limitation, Sections 208 and 4043(b)(8) of ERISA and Sections 401(a)(12), 414(l) and 6058(b) of the Code, and the regulations thereunder.
