Common use of No Mergers Clause in Contracts

No Mergers. (a) The Transferor shall not consolidate with or merge into any Person or transfer all or any material portion of its assets to any Person or liquidate or dissolve; and (b) NAFI shall not (i) consolidate with or merge into any Person unless it complies with the procedures set forth in Section 9.3 of the Sale and Servicing Agreement with respect to the merger or consolidation of the Servicer, (ii) transfer all or any material portion of its assets to any Person or (iii) liquidate or dissolve.
