Subscriber acknowledges that the Offering is being conducted on a “best-efforts” basis with no minimum amount required to be sold before any closing and the Company may not raise sufficient funds in the Offering to undertake its business expansion and other development efforts. If the Company sells less than the maximum amount offered, it may be required to seek additional funding, which may not be available.
