No representation or warranty made herein, in the Parent Disclosure Schedule or in the appendices, schedules and exhibits attached hereto or any certificate furnished or to be furnished to Parent pursuant hereto or in connection with the transactions contemplated hereby (when read together) contains any untrue statement of a material fact or omits a material fact necessary in order to make the statements contained herein or therein, in the light of the circumstances under which they are made, not misleading now or at the Effective Time. Parent has disclosed to Company all material information of which it is aware relating specifically to the operations and business of the Parent as of the date of this Agreement or relating to the transactions contemplated by this Agreement, and will continue to disclose promptly to Company such additional material information of which it becomes aware after the date of this Agreement through the Effective Time.
