None of the representations and warranties of Centerprise or Mergersub set forth in this Agreement or in any of the certificates, schedules, lists, documents, exhibits, or other instruments delivered or to be delivered to the Company as contemplated by any provision hereof contains any untrue statement of a material fact or omits to state a material fact necessary to make the statements contained herein or therein not misleading. To the Knowledge of Centerprise, there is no fact or circumstance that has not been disclosed to the Company herein that has or is reasonably expected to have a Company Material Adverse Effect.
