No Mitigation; Offset: No Other Severance Benefits. (a) The Employee shall have no duty to attempt to mitigate any amounts payable to the Employee under this Agreement following the termination of the Employee’s employment with the Company and its affiliates, as applicable, by seeking alternative employment or consulting work. (b) The Company may offset any amounts the Employee owes to the Company or its affiliates, as applicable, as of the date of the termination of the Employee’s employment with the Company and its affiliates, as applicable, from any amounts that are payable to the Employee under this Agreement following the termination of Employee’s employment with the Company and its affiliates, as applicable, under this Agreement. (c) The Employee hereby agrees that in consideration of the payments to be received under this Agreement, the Employee waives any and all rights to any payments or benefits under any severance (but not pension) plans, programs or arrangements of the Company or any of its affiliates.
