Common use of NO OBJECTION FROM THE NASD Clause in Contracts

NO OBJECTION FROM THE NASD. The Registration Statement shall have become effective prior to the execution of this Agreement, or at such later date as shall be consented to in writing by Xxxxxxxxx Xxxxxxxx; and no stop order suspending the effectiveness thereof shall have been issued and no proceedings for that purpose shall have been initiated or, to the knowledge of the Company, Phoenix, or any Underwriter, threatened by the Commission, and any request of the Commission for additional information (to be included in the Registration Statement or the Prospectus or otherwise) shall have been complied with to the satisfaction of counsel to the Underwriters; and the NASD shall have delivered a letter to the Representatives stating that it intends not to raise any objection to the fairness and reasonableness of the underwriting terms and arrangements.
