No Obligation to Exercise Rights. Nothing contained in this Article I shall require the Unitholder (or shall entitle any proxy of such Unitholder) to (i) convert, exercise or exchange any Rights, option, warrants or convertible securities in order to obtain any underlying Securities or (ii) vote, or execute any consent with respect to, any Securities underlying such Rights, options, warrants or convertible securities that have not yet been issued as of the applicable record date for that vote or consent.
