No Obligation to Make Payment under Normal Policies. Employee acknowledges that Employee is not otherwise entitled to the separation pay set forth in Section 2.C. of this Agreement and that Employee is receiving the separation pay solely in exchange for the promises contained in this Agreement. Employee acknowledges that the Company has no obligation to provide separation pay to an employee whose employment is terminated under the circumstances in which Employee’s employment has been terminated.
No Obligation to Make Payment under Normal Policies. Employee acknowledges that Employee is not otherwise entitled to the severance pay, paid benefits continuation and outplacement assistance set forth in Sections 2-6 and that Employee is receiving the severance pay, paid benefits continuation, and outplacement assistance solely in exchange for the promises contained in this Agreement. Employee acknowledges that the Company has no obligation to provide severance pay, paid benefits continuation or outplacement assistance to an Employee whose employment is terminated under these circumstances.
No Obligation to Make Payment under Normal Policies. Employee understands, acknowledges and agrees that the payments and benefits provided herein provide more than the Company is required to pay under its normal policies and procedures.

Employee agrees that the payments, benefits, and accommodations described in Paragraph 1a, 1b, 1c, 1e and 1g above are more than the Company would otherwise be required to pay and/or provide under its normal policies and procedures. Additionally, Employee understands and agrees that he is not entitled to the consideration referenced in Paragraphs 1a, 1b, 1c, 1e and 1g unless and until this Agreement, the Supplemental Release attached as Exhibit 1, and the LTI Vesting/Forfeiture Agreement attached as Exhibit 2 all become effective and Employee complies with all obligations and conditions set forth in this Agreement. Employee agrees that upon the receipt of his final paycheck and his accrued, unused TOWP, he will have been paid in full for any/all compensation he claims to be owed by the Company, including, but not limited to, salary, wages, commissions, bonuses, or any other compensation, and disavows any right or claim to any additional Retirement and Release Agreement-Page 4 of 18 compensation other than that expressly set forth herein pursuant to this Agreement, to which he becomes entitled as set forth herein.
No Obligation to Make Payment under Normal Policies. EMPLOYEE acknowledges that upon execution of this Agreement and the Supplemental General Release, the Payment and Benefits described herein shall constitute full and complete satisfaction of any and all amounts properly due and owing to EMPLOYEE as a result of his employment with STAAR and/or his separation from that employment and that in the absence of this Agreement, EMPLOYEE would not be entitled to the Payment and Benefits specified in Paragraph 1.

Employee agrees that upon the receipt of his final paycheck and his accrued, unused TOWP, he will have been paid in full for any/all compensation he claims to be owed by the Company, including, but not limited to, salary, wages, commissions, bonuses, or any other compensation, and disavows any right or claim to any additional compensation other than that set forth herein pursuant to this Agreement, to which he becomes entitled as set forth herein. Additionally, Employee understands and agrees he is not entitled to the consideration referenced in Paragraph 1b unless and until this Agreement becomes effective and will not be entitled to the consideration referenced in Paragraph 1e unless and until the Long Term Incentives Vesting/Forfeiture Agreement attached as Exhibit 1 becomes effective.
No Obligation to Make Payment under Normal Policies. Employee agrees that the payments and accommodations described in Paragraph 1a — 1d above are more than the Company is required to pay and/or provide under its normal policies and procedures.
No Obligation to Make Payment under Normal Policies. O'Neil hereby agrees and acknowledges that the benefits set forth in first Paragraph of this Agreement are more than the Company is required to do under its normal policies and procedures and that they are in addition to anything of value to which O'Neil already is entitled.
No Obligation to Make Payment under Normal Policies. Employee agrees that the payment to be made hereunder is more than Guaranty is required to pay under its normal policies and procedures and that it is in addition to anything of value to which Employee already is entitled. Furthermore, such payments are more than Guaranty is required to pay Employee under the Employment Agreement.
