To Buyer's knowledge, without having made any investigation, no representation or warranty made by Buyer in this Agreement (including the Exhibits and Schedules hereto) or in any Certificate or other instrument furnished or to be furnished by Buyer to Sellers pursuant hereto, or in connection with the transactions contemplated hereby, contains any untrue statement of a material fact or omits to state a material fact necessary to make the statements contained herein or therein not misleading and which would have a material adverse effect on Buyer.
