No Order; Restraints Sample Clauses
The "No Order; Restraints" clause prohibits either party from seeking or obtaining court orders or legal restraints that would interfere with the execution or enforcement of the agreement. In practice, this means that neither side can pursue injunctions, restraining orders, or similar legal remedies to halt or delay the obligations set forth in the contract, except as specifically allowed elsewhere in the agreement. This clause is designed to ensure that both parties fulfill their contractual duties without resorting to legal maneuvers that could disrupt the intended business relationship or delay performance.
No Order; Restraints. No Governmental Entity of competent jurisdiction shall have (i) enacted, issued or promulgated any Law that is in effect or (ii) issued or granted any Order (whether temporary, preliminary or permanent) that is in effect, in each case which has the effect of making the Merger illegal or otherwise restraining, enjoining or otherwise prohibiting the consummation of the Merger (each, as applicable, a “Restraint”).
