No Governmental Authority with jurisdiction over such matters shall have enacted, issued, promulgated, enforced or entered any Law (whether temporary, preliminary or permanent) which is then in effect and has the effect of making the transactions contemplated hereby at the Closing illegal or otherwise restricting, preventing or prohibiting consummation of such transactions.

No Governmental Authority with jurisdiction over such matters shall have enacted, issued, promulgated, enforced or entered any Law statute, rule, regulation, injunction or other Governmental Order (whether temporary, preliminary or permanent) which is then in effect and has the effect of making the transactions contemplated hereby at the Closing by this Agreement illegal or otherwise restricting, preventing restraining or prohibiting consummation of such transactions; or which would otherwise materially adversely affect or interfere with the operation of the Business following Closing.

No Governmental Authority with jurisdiction over such matters shall have enacted, issued, promulgated, enforced or entered any Law Law, including any Governmental Order (whether temporary, preliminary or permanent) ), which is then in effect as of the Closing Date and has the effect of making the transactions contemplated hereby at the Closing by this Agreement illegal or otherwise restricting, preventing restraining or prohibiting consummation of such transactions.
