Neither Equipment Owner nor any of the Purchased Assets is subject to any judicial or administrative order, or any Governmental Rule (including without limitation any ordinance or zoning restriction) which could adversely affect, or impose any condition on, Equipment Owner, the Systems, the Licenses, the Purchased Assets, or the transactions contemplated hereby.
