Except for this Agreement, neither Sellers nor Shareholder has any legal obligation, absolute or contingent, to any other person or firm to sell the assets used in the Business (other than sales in the ordinary course of business), to issue or sell any capital stock or any security convertible into or exchangeable for capital stock of any Seller or to effect any merger, consolidation or other reorganization of any Seller or to enter into any agreement with respect thereto.
