Common use of No Other Agreements to Sell Clause in Contracts

No Other Agreements to Sell. Such Contributor represents that it has --------------------------- not made any agreement with, and will not enter into any agreement with, and has no obligation (absolute or contingent) to, any person or firm other than the Operating Partnership (a) to sell, transfer or in any way encumber (except for Permitted Encumbrances) any of such Contributor's Interests or to not sell such Contributor's Interests, or (b) to enter into any agreement with respect to a sale, transfer or encumbrance or put or call right with respect to such Contributor's Interests. In making the representations set forth in this Section 2.4, the Contributor may assume that the consents and waivers of rights set forth in Section 6.10 hereof have been given by all partners of the Asset Entities.
