Incorporated, the fees and expenses of which will be paid by Seller, no broker, finder or similar intermediary has acted for or on behalf of Seller or the Company or the Subsidiaries, or is entitled to any broker’s, finder’s or similar fee or other commission from Seller, the Company or the Subsidiaries, in connection with this Agreement or the transactions contemplated hereby.
