No Other Compensation; Employee at Will. Except as provided in Section 3 above, no amount or benefit shall be payable to the Officer under this Agreement in respect of termination of the Officer’s employment within two years following a Change-in-Control. This Agreement shall not be construed as creating an express or implied contract of employment and, except as otherwise agreed in writing between the Officer and MoSys, the Officer is and shall remain an “employee at will” and shall not have any right to be retained in the employ of MoSys.
