Common use of NO OTHER DISCUSSIONS Clause in Contracts

NO OTHER DISCUSSIONS. The Company, the Members, and their respective Affiliates, employees, agents and representatives will not (i) initiate, encourage the initiation by others of discussions or negotiations with third parties or respond to solicitations by third persons relating to any merger, sale or other disposition of any substantial part of the assets, business or properties of the Company (whether by merger, consolidation, sale of membership interest or otherwise) or (ii) enter into any agreement or commitment (whether or not binding) with respect to any of the foregoing transactions. The Company and the Members will immediately notify Purchaser if, from the date of this Agreement, any third party attempts to initiate any solicitation, discussion or negotiation with respect to any of the foregoing transactions.

The Company and the Members Shareholders will immediately notify Purchaser if, from the date of this Agreement, AESP if any third party attempts to initiate any solicitation, discussion or negotiation with respect to any of the foregoing transactions.

The Neither the Company, the Membersnor any Shareholder, and their respective Affiliates, employees, agents and or representatives will not shall (i) initiate, initiate or encourage the initiation by others of discussions or negotiations with third parties or respond to solicitations by third persons relating to any merger, sale or other disposition of any substantial part of the assets, business or properties of the Company (whether by merger, consolidation, sale of membership interest stock or otherwise) or (ii) enter into any agreement or commitment (whether or not binding) with respect to any of the foregoing transactions. The Company and the Members Shareholders will immediately notify Purchaser if, from the date of this Agreement, Parent if any third party attempts to initiate any solicitation, discussion or negotiation with respect to any of the foregoing transactions.

The Company, Neither the MembersCompany nor the Shareholder, and their respective Affiliates, employees, agents and or representatives will not shall: (i) initiate, initiate or encourage the initiation by others of discussions or negotiations with third parties or respond to solicitations by third persons relating to any merger, sale or other disposition of any substantial part of the assets, business or properties of the Company (whether by merger, consolidation, sale of membership interest stock or otherwise) ); or (ii) enter into any agreement or commitment (whether or not binding) with respect to any of the foregoing transactions. The Company and the Members Shareholder will immediately notify the Purchaser if, from the date of this Agreement, if any third party attempts to initiate any solicitation, discussion or negotiation with respect to any of the foregoing transactionstransactions after the date hereof but prior to closing in the same manner he has done from December 30, 1997 until the date hereof.
