Common use of No Other Purchase Agreements Clause in Contracts

No Other Purchase Agreements. No person has any agreement, option, understanding or commitment, or any right or privilege (whether by law, pre-emptive or contractual) capable of becoming an agreement, option or commitment, including convertible securities, warrants or convertible obligations of any nature, for: (a) the purchase, subscription, allotment or issuance of, or conversion into, any of the unissued shares in the capital of the Corporation or any securities of the Corporation; (b) the purchase from the Corporation of any of the Purchased Shares, or (c) the purchase or other acquisition from the Corporation of any its undertaking, property or assets, other than in the ordinary course of the Business.

No person Person other than the Purchaser has any agreement, option, understanding or commitment, or any right or privilege (whether by law, pre-emptive or contractual) capable of becoming an agreement, option or commitment, including a right of conversion or exchange attached to convertible securities, warrants or convertible obligations of any nature, for: (a) the purchase, subscription, allotment or issuance of, or conversion into, any of the unissued shares in the capital of the Corporation Corporations or any securities of the CorporationCorporations; (b) the purchase or other acquisition from the Corporation Vendor of any of the Purchased Shares, ; or (c) the purchase or other acquisition from any of the Corporation Corporations of any of its undertaking, property or assets, other than in the ordinary course Ordinary Course of the Business.

No person Person other than the Purchaser has any written or oral agreement, option, understanding or commitment, or any right or privilege (whether by law, pre-emptive or contractual) capable of becoming an agreement, option or commitment, including convertible securities, warrants or convertible obligations of any nature, commitment for: (a) the purchase, subscription, allotment or issuance of, or conversion into, of any of the unissued shares in the capital of the Corporation or any securities of the Corporationits Subsidiary; (b) the purchase from the Corporation of any of the Purchased Shares, or (c) the purchase or other acquisition from the Corporation Vendor of any its undertakingof the Purchased Shares; or (c) except pursuant to the Pre-Closing Reorganization, property the purchase or assets, other acquisition of any of the assets or properties of the Business other than in the ordinary course Ordinary Course of Business. There are no restrictions of any kind on the transfer of any of the BusinessPurchased Shares except those set out in the articles of the Corporation.
