As of the date hereof, the Subject Shares and the securities set forth on Schedule A are the only Common Shares of the Corporation and securities exercisable or convertible into or exchangeable for Common Shares owned, directly or indirectly, or over which control or direction is exercised, by the Shareholder and the Shareholder has no agreement or option, or right or privilege (whether by law, pre-emptive or contractual) capable of becoming an agreement or option, for the purchase or acquisition by the Shareholder of additional Common Shares or securities of the Corporation.
