NO OWNERSHIP INTEREST BY PARENT. Nothing contained in this Section 5 shall be deemed to vest in Parent any direct or indirect ownership or incidence of ownership of or with respect to any Subject Shares. All rights of ownership and economic benefits of and relating to the Subject Shares, including, without limitation, the right to vote the Subject Shares and to receive dividends thereon, shall remain and belong to Executive, subject only to the Transfer restrictions contained in this Section 5.
