No Partnership or Joint Venture Created. The parties acknowledge and agree that this Agreement does not create a partnership between, or a joint venture of, UTILITY and Licensee. UTILITY and Licensee are each independent contractors and nothing contained in this Agreement shall be construed to constitute either party an agent of the other.
