Common use of No Pending Governmental Litigation Clause in Contracts

No Pending Governmental Litigation. There will not be pending before any court of competent jurisdiction any legal proceeding commenced by a Governmental Authority that (i) challenges or seeks to restrain or prohibit the consummation of the Merger or (ii) relates to the Merger and seeks to obtain from Purchaser any damages or other relief that, if awarded, would have a material adverse effect on Purchaser and its subsidiaries (including the Surviving Corporation).
