Common use of No Pending Legal Action Clause in Contracts

No Pending Legal Action. Typhon represents and warrants that there is not pending or, to the best of Typhon’s knowledge, threatened, any action, suit or proceeding before or by any court or other governmental body to which Typhon is a party, or to which any of the assets of Typhon is subject, which might reasonably be expected to materially adversely affect Typhon’s ability to perform its obligations under this Agreement. Typhon shall immediately notify Client of the nature and amount of any claim which could reasonably be expected to materially adversely affect Typhon’s ability to perform its obligations under this Agreement upon receipt by Typhon of notice of any such action, suit, proceeding, investigation, or other inquiry as described herein during the term of this Agreement.
