No Pending Litigation or Proceedings. No action, suit, investigation, claim or proceeding of any nature or kind whatsoever, whether civil, criminal or administrative, by or before any Governmental Body or arbitrator ("Litigation") is pending or, to the knowledge of Transferor and Xx. Xxxxxx, threatened against or affecting Transferor, Xx. Xxxxxx, the Business, any of the Transferred Assets, the Leased Real Estate, or any of the transactions contemplated by this Agreement or any Other Agreement except for claims for personal injury and workers compensation and further except for claims for property damage identified on SCHEDULE 3.9 and claims by Governmental Bodies identified on SCHEDULE 3.9. There is presently no outstanding judgment, decree or order of any Governmental Body against or affecting Transferor, Xx. Xxxxxx, the Business, any of the Transferred Assets, the Leased Real Estate, or any of the transactions contemplated by this Agreement or any Other Agreement. Neither Transferor nor Xx. Xxxxxx has any pending any Litigation against any third party related to the Business.
