No Pending Matters. There are no pending or, to the knowledge of Buyer, threatened actions, lawsuits or proceedings against Buyer by any organization, person, individual or governmental agency that, if determined adversely to Buyer, would materially adversely affect Buyer’s ability to perform its obligations under this Agreement or that would enjoin or prevent entry into a valid and binding sale and purchase agreement and/or the consummation of any closing nor does Buyer know of any basis for such action.
