No Pending or Threatened Litigation. Borrower represents and warrants that, except as set forth on Schedule 5.5 attached hereto, there are no actions, suits, or proceedings pending or, to Borrower’s knowledge, threatened against or affecting Borrower in any court or before any governmental commission, board, or authority which, if adversely determined, would have a Material Adverse Effect.
