No Pension Plans or Welfare Plans. Neither Parent nor any of its ERISA Affiliates has ever maintained, established, sponsored, participated in, or contributed to, and does not otherwise have any Liability with respect to or under any (i) employee benefit plan subject to Section 412 of the Code or Title IV of ERISA (ii) “multiemployer plan” within the meaning of Section (3)(37) of ERISA, (iii) “multiple employer plans” for purposes of ERISA, or (iv) a “funded welfare plan” within the meaning of Section 419 of the Code. No Parent Employee Plan provides health or disability benefits that are not fully insured through an insurance contract.
