Common use of No Personal Liability of Directors, Officers, Owners, Etc Clause in Contracts

No Personal Liability of Directors, Officers, Owners, Etc. No past, present, or future director, officer, employee, incorporator, stockholder, managing member, member, general partner, limited partner, principal or other agent of the Investor, the Company, or any Company Subsidiary shall have any liability for any obligations of the Investor or the Company, as applicable, under this Agreement or for any claim based on, in respect of, or by reason of, the respective obligations of the Investor or the Company, as applicable, under this Agreement. Each party hereby waives and releases all such liability. This waiver and release is a material inducement to each party’s entry into this Agreement.
