No Prior Restrictions. Executive hereby represents and warrants to Company that the execution, delivery, and performance by Executive of Executive’s duties under this Agreement do not violate any provision of any agreement or restrictive covenant which Executive has with any former employer or any other entity. Executive further agrees to honor and inform Company of any and all post-employment obligations Executive has to any former employer or any other entity with which Executive has or had a business relationship.

The Executive hereby represents and warrants to the Company that the execution, delivery, and performance by Executive of Executive’s duties under this Agreement do does not violate any provision of any agreement or restrictive covenant which the Executive has with any former employer or any other entity(a "Former Employer"). The Executive further agrees acknowledges that to the extent the Executive has an obligation to the Former Employer not to disclose certain confidential information, Executive intends to honor such obligation and inform the Company of any and all post-employment obligations hereby agrees not to knowingly request the Executive has to any former employer or any other entity with which Executive has or had a business relationshipdisclose such confidential information.
