Common use of No Proceedings, Order Clause in Contracts

No Proceedings, Order. On the Stage I Closing Date, no suit, --------------------- action or other proceeding, or injunction or final judgment relating thereto, shall be pending before any court or governmental or regulatory official, body or authority in which it is sought to restrain or prohibit or to obtain damages or other relief in connection with this Agreement or the consummation of the Transactions contemplated hereby, which would be reasonably likely to result in a Xxxx Atlantic Material Adverse Effect. No Governmental Authority shall have enacted, issued, promulgated, or enforced any Law or Court Order (whether temporary, preliminary or permanent) which is then in effect, which has the effect of making the Transaction contemplated hereby, illegal or otherwise, preventing or prohibiting the transactions to be effected at the Stage I Closing.
