None of the Partnership Entities is currently prohibited, directly or indirectly, from making distributions with respect of its equity securities or from repaying to the Partnership any loans or advances or from transferring any property or assets to the Partnership or any other Subsidiary, except as described in (i) the Registration Statement (excluding the exhibits thereto), each Preliminary Prospectus and the Prospectus or (ii) the Organizational Documents of the Partnership and the General Partner.
