Common use of No Prohibitive Laws Clause in Contracts

No Prohibitive Laws. No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any law, statute, rule, regulation, executive order or decree (whether temporary, preliminary or permanent) which is in effect and which has the effect of making the transactions contemplated hereby illegal or otherwise prohibits or otherwise restrains the consummation of the transactions contemplated hereby.

No Governmental Authority shall have enacted, issued, promulgated, enforced or entered or deemed applicable to the Merger any law, statute, rule, regulation, executive order or decree (whether temporary, preliminary or permanent) which is in effect and which has the effect of making the transactions Merger or any other transaction contemplated hereby by this Agreement illegal or otherwise prohibits or otherwise restrains the consummation of the transactions Merger or any other transaction contemplated herebyby this Agreement.
