No Prospectus. In relation to the issuance of the Bonds, no prospectus pursuant to the Prospectus Regulation has been or will be drawn up and approved in the Republic of Latvia (or in any other Member State of EEA) and no prospectus pursuant to the Prospectus Regulation has been or will be passported into any Member State of the EEA as the Bonds are being offered solely to the Subscriber and for a total consideration in the European Union of less than EUR 1,000,000 and thus in reliance on an exemption from the prospectus publication requirement under the Prospectus Regulation.
