No Public Announcements or Negotiation with Others. (a) The parties hereto shall not issue any press release or make any public statement regarding the transactions contemplated by this Agreement (except for any filing or disclosure required by law or regulation such as a form 8-K or similar public disclosure) without obtaining the prior written consent of the other party, which consent shall not be unreasonably withheld.
