No Public Offering or Directed Selling Efforts. The Issuers will not, and will not permit any of their subsidiaries to, engage in (i) any form of general solicitation or general advertising within the meaning of Rule 502 of Regulation D under the Securities Act, in connection with the offering of the Securities or in any manner involving a public offering within the meaning of Section 4(a)(2) of the Securities Act, or (ii) any directed selling efforts within the meaning of Regulation S, with respect to the Securities offered and sold in reliance on such regulation.
