Common use of No Purchase Rights Clause in Contracts

No Purchase Rights. Other than under the Shareholders Agreement, no Person has any written or oral agreement or option or any right or privilege (whether by law, pre-emptive, contractual or otherwise) capable of becoming an agreement or option, including securities, warrants or convertible obligations of any kind, for: 3.2.12.1 the purchase of any securities of the Corporation; or 3.2.12.2 the purchase of any of the assets of the Corporation, other than the Excluded Assets or in the ordinary course of the Business.
