Common use of No Ratings Agency Change Clause in Contracts

No Ratings Agency Change. As of the Closing Date, (i) the ratings and outlook accorded the Notes by Xxxxx’x Investors Service, Inc. (“Moody’s”), Standard & Poor’s Ratings Services (“S&P”) and Fitch Ratings, Inc. (“Fitch”) shall not be lower than Baa3 (with a positive outlook) by Moody’s, BBB (with a stable outlook) by S&P and BBB (with a stable outlook) by Fitch and (ii) none of Moody’s, S&P or Fitch shall have given notice of or publicly announced (A) any intended or potential downgrading of any such rating or outlook or (B) any review for a possible change in any such rating or outlook that does not indicate the direction of the possible change.
