No Recordation, Etc Clause Samples

The "No Recordation, Etc" clause prohibits parties from recording the agreement or any related documents with public authorities, such as land registries or government offices. In practice, this means that neither party can file the contract or any memorandum of its terms in official records, and may also restrict actions like filing liens or notices that reference the agreement. The core function of this clause is to maintain the confidentiality of the agreement and prevent encumbrances or public claims that could affect property rights or complicate future transactions.
