No Registration of Interest. The issuance of the LLC Interests is being made privately by the LLC pursuant to the private placement exemption from registration provided by Section 4(2) of the Securities Act and Regulation D thereunder. Such Member understands that the LLC will not register as an investment company under the Investment Company Act of 1940, as amended, in reliance upon an exemption from registration thereunder in Section 3(c)(7) thereof, and that for purposes of the provisions of Section 3(c)(7) thereof, the LLC does not presently propose to make a public offering of its securities within the United States.
