No Regulatory Impediment. Based upon the information supplied by the Company with respect to the Company’s and its Subsidiaries’ respective businesses and operations, to the Parent’s Knowledge there are no material facts with respect to the business and operations of the Parent, Merger Sub or their respective Affiliates that would reasonably be expected to materially impair the ability of the parties to this Agreement to obtain, on a timely basis, any authorization, consent, Order, declaration or approval of any Governmental Authority necessary for the consummation of the transactions contemplated by this Agreement.
