No Reliance by Third Parties. The representations, warranties and covenants of a Party set forth in this Agreement are intended for the sole and exclusive benefit of the other Party hereto and the Indemnified Parties, and may not be relied upon by any Third Party other than the Indemnified Parties, and may only be relied on by the Indemnified Parties for purposes of their indemnity hereunder.
