Common use of NO RESALE OR TRANSFER Clause in Contracts

NO RESALE OR TRANSFER. Grantor shall not sell, assign or otherwise transfer (otherwise than by operation of law) any of the Shares which are subject to the Purchase Option or any interest therein, or grant or otherwise allow to exist any lien, claim or other encumbrance on or with respect to any of the Shares then subject to the Purchase Option.
