No Responsibility Of Agent For Certain Matters. The Agent: (a) shall not be responsible in any manner whatsoever for the correctness of any recitals, statements, representations, or warranties contained herein except for those expressly made by the Agent herein; (b) makes no representation or warranty as to and is not responsible in any way for: (i) title of each Securityholder to any of their Additional Optioned Shares; (ii) the identity, authority or right of any Securityholder, the Optionor or the Optionee executing any document; and (c) shall have no liability in respect of any matters described in Sections 6.11(a) or 6.11(b). The Agent shall not be required to ascertain or inquire as to the performance by the Optionee or the Optionor of any of its covenants or obligations hereunder.
