NO RESTRAINING ORDERS. No court of competent jurisdiction shall have issued an order, judgment or decree (other than a temporary restraining order) restraining, enjoining or otherwise prohibiting the transactions contemplated to occur at such closing which has not been lifted (each party agreeing to use its reasonable efforts to have any such injunction, order or decree lifted).
