No Restraint on Business. No action shall have been taken by any Governmental Entity, and no Legal Requirement or Order (whether temporary, preliminary, or permanent) shall have been enacted, adopted, or issued by any Governmental Entity, in connection with any Contemplated Transaction that has the effect of limiting or restricting the ownership, conduct, or operation of the business of Purchaser or any of its Affiliates, or the effect of limiting or restricting the ownership, conduct, or operation of the Seller or any Affiliate thereof following the Closing.

No action shall have been taken by any Governmental Entity, and no Legal Requirement or Order (whether temporary, preliminary, preliminary or permanent) shall have been enacted, adopted, adopted or issued by any Governmental Entity, in connection with any of the Contemplated Transaction Transactions that has the effect of limiting or restricting the ownership, conduct, conduct or operation of the business of Purchaser Parent or any of its Affiliates, or the effect of limiting or restricting the ownership, conduct, conduct or operation of the Seller business of the Surviving Corporation or any Acquired Company or any Affiliate thereof following the Closing.
